TERMS OF USE
PLEASE READ THESE TERMS OF USE (“AGREEMENT” OR “TERMS OF USE”) CAREFULLY BEFORE USING THE WEBSITE AND SERVICES OFFERED BY MEDTEL.COM INC. (“MEDTEL”, “WE” OR “OUR”). THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE WEBSITE AT HTTP://WWW.MEDTEL.COM (THE “SITE”) AND ALL SERVICES PROVIDED BY MEDTEL ON THE SITE.
1. ACCEPTANCE OF TERMS
By using the Site in any manner, including but not limited to visiting or browsing the Site, you (“user” or “you”) agree to be bound by this Agreement, including those additional terms and conditions and policies referenced herein and/or available by hyperlink. This Agreement applies to all users of the Site, including without limitations users who are vendors, customers, merchants, contributors of content, information and other materials or services to the Site.
2. MEDTEL.COM IS A VENUE
MedTel acts as a venue to allow users who comply with MedTel’s policies to interact with other users, including scheduling visits and sending messages, and to customize and organize a vast array of information relating to pharmaceuticals and medical devices, and contact details for representatives at each company that produces pharmaceuticals and medical devices. The Site has the following functional features:
* Obtain Content about Drugs and Medical Devices and Who to Contact for More Content. A physician, for example, could use the Site as a centralized portal to find more reference information about a drug or a medical device and contact information for the representatives in charge of sales to ask questions and to place orders for samples, as well as identify “favorite” representatives and keep personal notes on such interactions and relationships.
* Schedule Appointments Between Medical Device and Pharma Representatives and Physicians. A physician's staff administrator, could use the Site, to post a physician's call schedule and to organize bookings with drug and medical device representatives, effectively filtering outside inquiries and improving office productivity.
* Identify and Connect with Doctors who are Interested in Specific Drugs, Medical Devices or have a Practice with a Relevant Application. A representative of a pharmaceutical or medical device company, could use Site as a resource for not only facilitating and organizing appointments with physicians who are interested in finding out more about certain products, but also in organizing and customizing contact information for physicians and their practices to visit and in identifying physicians who have either (a) expressed interested in their product or similar products, or (b) practice in areas where an application of a medical device or drug may be relevant.
* Communicate Directly between Physicians and Drug and Medical Device Representatives. In addition to the ability to access and customize databases and schedule appointments, each MedTel user has the ability to communicate through the Site to make professional inquiries and discuss upcoming meetings.
The foregoing features, and any other services offered by MedTel on the Site are called “Services.” Any data, text, information, usernames, graphics, images, photographs, profiles, contact information, audio, video, items, communications, messages and links posted, submitted or otherwise made available on the Site is referred to as “Content.”
Nature of Content: The information that you obtain from the Site or receive from MedTel, and its employees, officers, directors, contractors, partners, sponsors, advertisers, licensors or otherwise on the Site is for informational and scheduling purposes only.
THE INFORMATION PROVIDED ON THE SITE IS NOT INTENDED AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THIS SITE IS INTENDED AS A BUSINESS-TO-BUSINESS SITE, AND IS NOT INTENDED ON BEING A SITE FOR CONSUMERS SEEKING MEDICAL ADVICE OR SEEKING A PHYSICIAN, DRUG OR MEDICAL DEVICE. DO NOT DISREGARD, AVOID OR DELAY OBTAINING MEDICAL ADVICE FROM A QUALIFIED HEALTH CARE PROFESSIONAL BECAUSE OF SOMETHING YOU MAY HAVE READ ON THE SITE. DO NOT USE THE SITE FOR EMERGENCY MEDICAL NEEDS. IF YOU EXPERIENCE A MEDICAL EMERGENCY CALL 911. YOUR USE OF INFORMATION PROVIDED ON THE SITE IS SOLELY AT YOUR OWN RISK. NOTHING STATED OR POSTED ON THE SITE OR AVAILABLE THROUGH ANY SERVICES IS INTENDED TO BE, AND MUST NOT BE TAKEN TO BE, THE PRACTICE OF MEDICINE OR THE PROVISION OF MEDICAL CARE.
Lack of Involvement in Transactions Between Users: Accordingly, MedTel is not directly involved in any transactions between physicians and healthcare professionals, on the one hand, and sales representatives of pharmaceutical and medical device companies, on the other hand. As a result, MedTel has no control over the quality, safety, morality or legality of any aspect of any transactions or interactions among its users, including without limitation, the truth or accuracy of the listings, the ability of sales representatives to offer samples or the ability of users to pay for any drugs or medical devices. MedTel does not pre-screen the content or information provided by users, and in providing links to external websites providing reference information about drugs or medical devices or about physician practices, does not in any way endorse the truth, accuracy, completeness of such content or information.
Limited Ability and Procedures to Identify Users: MedTel does not attempt to verify a user’s identity, other than taking two very basic steps during the registration process: (a) confirming the National Provider Identifier number for health care professionals, (b) for sales professionals, by only accepting users with e-mail addresses at pharmaceutical or medical device companies. However, there is no way for MedTel to confirm whether or not the user logging in to the Site and registering the account is indeed such person who is being registered, nor in the case of users registering on our Site with a sales representative accounts that they serve in such capacity for the company hosting their e-mail address or are authorized to access our Site by their company. We also have no way of knowing every single pharmaceutical or medical device company operating a business; bear in mind that you will need to do your own due diligence and hold a degree of skepticism with dealing with previously unknown parties. Moreover, any account information, even if accurate and registered by a user registering an account in his or her own name is not updated by MedTel; and it is the user’s obligation to update MedTel to reflect any change in status. Other than such limited pre-screening procedures described in the first sentence of this paragraph, MedTel does not engage in a background check or review the credit or criminal history of its users. MedTel cannot guarantee the true identity, age, licensing status, history of malpractice complaints, lack of criminal history, professional affilation or nationality of a user. Remember, you are on the Internet, and at any time, people may not be who they claim to be, and that multiple persons may have access to a single account in violation of these Terms of Use.
You are strongly encouraged to perform your own due diligence and investigation prior to contacting any physician, health care professional or sales representative. With respect to physicians, making a confirming telephone call to the appropriate licensing authority to verify any credentials and education, and to verify other information by confirming with the doctor’s office, other professional associations relative to a doctor’s specialty and a state medical board would be appropriate and recommended. Similarly, with respect to sales representatives, contacting the companies that they purport to represent as well as independently verifying and researching any claims, including reviewing studies, medical journal reports, reviewing medical malpractice claims, if any, and conducting research to review independent literature on pharmaceutical products and regimes and medical devices, discussing with professional colleagues and associations and insurance providers, would be appropriate and recommended.
Similarly, our Site may mistakes and does not control for user behavior. MedTel is not responsible, and cannot easily verify for a user information that any user should use their own common sense and due diligence to verify and confirm. For example, a physician claiming to specialize in an area or being board-certified in a specific area of medical practice may not be telling the truth, or may not be providing accurate and complete disclosure. Similarly, a sales representative may no longer be affiliated with a particular company, medical device or its products as when he or she registered as a user on our Site, or at any time, may be affiliated with other companies, medical devices and products not listed on our Site.
MedTel encourages you to communicate directly with other users through the tools available on the Site. You may also wish to consider using a third-party escrow service or services that provide additional user verification prior to engaging in any transactions with other users. Remember, when dealing with sales representatives, that such persons are likely to be compensated in part based on the number of sales made, and accordingly have a financial incentive that may affect claims made and communications with physicians and other health care professionals.
No Endorsement of Individuals, Products or Services:
WE DO NOT IN ANY WAY ENDORSE ANY PARTICULAR PHYSICIAN, HEALTH CARE PROFESSIONAL OR SALES REPRESENTATIVE, NOR ANY OF THEIR SERVICES OR PRODUCTS, NOR ANY SPECIFIC PHARMACEUTICAL PRODUCT OR MEDICAL DEVICE FOR ANY PURPOSE OR APPLICATION. MOREOVER, THE LISTING OR PARTICIPATION OF ANY INDIVIDUAL USER ON OUR SITE DOES IN NO WAY EXPRESS, DIRECTLY OR INDIRECTLY, ANY ENDORSEMENT OF OUR SITE BY SUCH PERSON, NOR BY ANY COMPANIES IN WHICH SUCH USER MAY BE AFFILIATED. WE MAKE NO GUARANTEES, REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESSED OR IMPLIED, WITH RESPECT TO THE PROFESSIONAL QUALIFICATIONS, EXPERTISE, QUALITY OF WORK OR OTHER INFORMATION AVAILABLE ON THIS SITE. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION.
We have no control over, and cannot guarantee the availability of any physician or health care professional at any particular time. We will not liable for cancelled or otherwise unfulfilled appointments or any injury resulting therefrom, or for any other injury resulting from the use of the Site or Services whatsoever.
Physician and Health Care Professional Content: Physician and other practice information found on the Site is intended for general reference only. Physician and other health provider information found on the Site is both self-reported, by the physician and/or office staff, and collected from multiple other data sources that may not be confirmed by the physician (and in some cases, populated by MedTel from a general directory of physicians and health care professionals). Such information often changes frequently and may become out of date or inaccurate. Neither the Site nor MedTel provides any advice nor qualification certification bout any particular physician or provider. Our relationship to sponsors or physicians in a particular area is based on criteria we establish.
Content about Procedures/Products/Drugs/Services: The procedures, products, pharmaceutical drugs or products, services and medical devices discussed and/or advertised on the Site are not applicable to all individuals, patients or all clinical situations. We make no claims as to the effectiveness or safety of any such procedures, drugs, products, services and devices. Any products and/or services represented on the Site by advertisers, sponsors, and other Site participants, either paid or unpaid, are presented for your awareness and do not necessarily imply appropriateness for any particular individual, patient population, or prediction of effectiveness, safety, outcome or success.
You agree that MedTel and the Site is a venue and as such is not responsible or liable for any Content posted by you, other users, or outside parties on MedTel. You use MedTel and the Site at your own risk.
3. USER ELIGIBILITY
Residence: The Site is administered in the United States and MedTel’s Services are intended for, and available only to, and may only be used by, individuals resident in the United States and companies doing business in the United States who are limiting the scope of their activities with respect to the Site and MedTel’s services to the United States. MedTel’s Services are not intended to be offered, used, marketed or promoted to, any individuals or companies doing business in any jurisdiction in which MedTel’s Services would be illegal or required to be licensed, regulated or authorized by any relevant competent authority. Use of the Services and registering as a user of the Site is void where prohibited by applicable law, and the right to access the Site is revoked in such jurisdictions.
Age: MedTel’s Services are available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law. You represent and warrant that you are at least 18 years old and that all registration information you submit is accurate and truthful. MedTel may, in its sole discretion, refuse to offer access to or use of the Site to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Site is revoked in such jurisdictions.
Individuals under the age of 18 must at all times use MedTel’s services only in conjunction with and under the supervision of a parent or legal guardian who is at least 18 years of age. In this all cases, the adult is the user and is responsible for any and all activities.
Compliance: You agree to comply with all local laws regarding online conduct and acceptable content. You are responsible for all applicable taxes. Any person who uses or accesses MedTel agrees to use its app, services, information and content in compliance with all federal, state and local laws concerning licenses, copyrights, trademarks, intellectual property and all criminal and civil laws in relation to the use of information, contact and transactions with other persons or entities and all applicable laws regarding the transmission of technical data exported from the jurisdiction in which you reside.
In addition, you must abide by MedTel’s policies as stated in the Agreement and the MedTel policy documents listed below (if applicable to your activities on or use of the Site) as well as all other operating rules, policies and procedures that may be published from time to time on the Site by MedTel, each of which is incorporated herein by reference and each of which may be updated by MedTel from time to time without notice to you, including without limitation, the Site’s Privacy Policy.
In addition, some Services offered through the Site may be subject to additional terms and conditions promulgated by MedTel from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into this Agreement by this reference.
4. REGISTRATION
As part of the registration process, you will provide an e-mail address, certain additional contact information and identifying information, and create a password.
Password: Keep your password secure. You are fully responsible for all activity, liability and damage resulting from your failure to maintain password confidentiality. You agree to immediately notify MedTel of any unauthorized use of your password or any breach of security. You also agree that MedTel cannot and will not be liable for any loss or damage arising from your failure to keep your password secure. You agree not to provide your username and password information in combination to any other party other than MedTel without MedTel's express written permission.
Account Content and E-Mail Addresses: You must keep your account information up-to-date and accurate at all times, including a valid email address. As a result of providing your e-mail address to MedTel, MedTel may use your e-mail address to send you information regarding your MedTel’s services as well as the information available through MedTel. These e-mails may contain links or information about particular companies providing particular goods or services relevant to your industry or type of business.
Account Transfer: You may not transfer or sell your MedTel account and User ID to another party. If you are registering as a business entity, you personally guarantee that you have the authority to bind he entity to this Agreement.
Right to Refuse Service: MedTel’s Services are not available to temporarily or indefinitely suspended MedTel users. MedTel reserves the right, in MedTel’s sole discretion, to cancel unconfirmed or inactive accounts. MedTel reserves the right to refuse service to anyone, for any reason, at any time.
5. PROHIBITED AND QUESTIONABLE ACTIVITIES
Restricted Activities: You are solely responsible for any Content that you submit, publish or display on the Site or transmit to other users of the Site. Your Content and your use of the Site shall not, directly or indirectly:
a. Be false, inaccurate or misleading.
b. Be fraudulent or involve the sale of illegal, counterfeit or stolen items or services.
c. Infringe upon or misappropriate MedTel’s or any third-party’s copyright, patent, trademark, trade secret or other proprietary or intellectual property rights or rights of publicity or privacy (see also, MedTel’s Copyright and Intellectual Property Policy) or remove any copyright, trademark or other proprietary rights notices contained in or on the Site and or in any content or material obtained via the Site.
d. Violate this Agreement, any site policy or community guidelines, or any applicable law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or encourage others to do so.
e. Be defamatory, trade libelous, unlawfully threatening, unlawfully harassing, impersonate or intimidate any person (including MedTel staff or other users), or falsely state or otherwise misrepresent your affiliation with any person, through for example, the use of similar email address, nicknames, or creation of false account(s) or any other method or device.
f. Be obscene, pornographic or sexually explicit in nature, or distribute or post any materials or information containing child pornography.
g. Contain or transmit any code of a destructive nature that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
h. Host images not part of a listing.
i. Modify, reverse-engineer, adapt, translate or hack, re-format or frame, any portion of the Site or its content, materials or services, or modify another website so as to falsely imply that it is associated with MedTel or the Site.
j. Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve or index any portion of the Site.
k. Fraudulently misuse the Site by scheduling an appointment with a physician or health care provider which you have no intention of keeping or under false or fraudulent pretenses or false identity.
l. Create user accounts by automated means or under false or fraudulent pretenses.
m. Appear to create liability for MedTel or cause MedTel to lose (in whole or in part) the services of MedTel’s ISPs or other suppliers.
n. Link directly or indirectly, reference or contain descriptions of goods or services that are prohibited under this Agreement, the Privacy Policy, or other policy documents as posted on MedTel.
o. Be reasonably offensive to community standards, illegal or violates the rights of, harm, or theaten the safety of other users of the Site or other website users.
p. Be unlawful or pomote or encourage illegal activity.
q. Falsely express or imply that Content or material is sponsored or endorsed by MedTel or by any other user or third party.
r. Collect or store personal data about other users in connection with the prohibited activities described in this Section 4.
No Spam: You may not use contact information provided by our users or collaborating physicians, health care professionals or sales representatives, or harvest such information for the purpose of sending, or to facilitate the sending, of unsolicited bulk communications such as Spam. You may not allow others to use your account to violate the terms of this Section 4. We may terminate your registered user account or access to the Site immediately and take other legal action if you or anyone using your accountant violates these provisions.
In addition to our rights in these Terms of Use, we may take any legal action and implement any technical remedies to prevent the violation of this Section 4 and to enforce these Terms of Use.
6. CONTENT
Our Content: Except for your Content and the Content of other users submitted by you or them or otherwise licensed by MedTel, all of the information available on or through the Services and/or the Site, including without limitation, text, photographs, graphics and video and audio content, is owned by MedTel and its licensors and is protected by copyright, trademark, patent, and trade secret laws, other proprietary rights, and international treaties. You acknowledge that the Services and any underlying technology or software used in connection with the Services contain MedTel’s proprietary information. MedTel gives you permission to use the aforementioned content for commercial purposes that do not compete with MedTel or infringe upon such rights of MedTel or its licensors only, and do not transfer any intellectual property rights to you by virtue of permitting your use of the Services. You may print, download, and store information from the Site for your own convenience, but you may not copy, distribute, republish (except as permitted by this Section 6), sell, or exploit any of the content, or exploit the Site in whole or in part, for any commercial gain or purpose whatsoever in a manner that competes directly or indirectly with the Site and/or MedTel. Except as is expressly and unambiguously provided in this Agreement, MedTel and its licensors and suppliers do not grant you any express or implied rights, and all rights in the Site and the Services not expressly granted by MedTel are retained by MedTel.
License to Your Content: MedTel does not claim ownership rights in your Content. You grant MedTel and its contractors and the users of the Site a license solely to enable MedTel to use any information or Content you supply MedTel with, so that MedTel is not violating any rights you might have in that Content. Subject to this paragraph, you grant MedTel and its contractors and the users of the Site a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable (through multiple tiers) right to exercise, use, copy, publicly perform, digitally perform, publicly display, and distribute the copyright, publicity, and database rights (but no other rights) you have in the Content, in any media now known or not currently known, with respect to your Content, and to adapt, edit, translate, prepare derivative works of, or incorporate into other works, such Content. You agree to allow MedTel to store or re-format your Content on MedTel and display your Content on MedTel in any way as MedTel chooses. Notwithstanding anything to the contrary, you agree that Medtel shall have the exclusive right to practice this license to the extent of combining your Content with the Content of other Site users for purposes or constructing a searchable database of information relating to the health care industry. MedTel will only use personal information in accordance with MedTel’s Privacy Policy.
Limitation on License to Use Contact Content of Others: As part of a transaction or use of the Site, you may obtain personal and professional contact information, including email address, phone numbers and office addresses, from another MedTel user. Without obtaining prior permission from the other user, this personal information shall only be used for that transaction or for MedTel-related communications. MedTel has not granted you a license to use the information for unsolicited commercial messages. Without limiting the foregoing, without express consent from the user, you are not licensed to add any MedTel user to your email or physical mail list. Re-Posting and Re-purposing Content: If By posting Content on MedTel, it is possible for an outside website or a third party to re-post that Content. You agree to indemnify and hold harmless MedTel for any claim or dispute concerning this use. Any material, information, Content or other communication, including, without limitation, data, questions, comments, suggestions or the like (collectively, the “Communications”), that you transmit or post to this Site will be considered non-confidential and non-proprietary. MedTel will have no obligations in connection with any of the Communications. Although MedTel has a policy preventing users from using contact information inappropriately, MedTel cannot prevent the “harvesting” of information from this Site, and you may be contacted by MedTel or unrelated third parties, by e-mail or otherwise, within or outside of this Site. Furthermore, at the sole discretion of MedTel, the Communications, including all data, images, sounds, text and other things embodied therein, may be edited by or on behalf of MedTel, may or may not be posted to this Site and may be used by MedTel or its affiliates for any lawful purpose, including, reproduction, disclosure, distribution, transmission, publication, broadcast and posting, unless you have indicated otherwise to us in writing. The Communications may be used for any and all commercial or non-commercial purposes including, but not limited to, developing, manufacturing and marketing products using such information. Linking to MedTel Site: Usually, we don't mind if you include a simple link from your website to our Site. However, you must first ask our permission if you intend to frame one of our websites or incorporate portions or one of our websites into a different site or product in such a way that is not clear to our users that we are the source of the content. You are not allowed to link to us if you engage in the publication or promotion of illegal, obscene, or offensive content, or if the link in any way negatively impact on our reputation. If you choose to display your own MedTel-hosted image on another website, the image must provide a link back to its listing page on MedTel.
Availability and Access: MedTel cannot guarantee that the results of any search conducted through MedTel will not yield unintended results. MedTel does not guarantee the future availability of, or the ability of a user of the MedTel to access, any link or information or content on MedTel at any given time. MedTel may discontinue, suspend or change the Site or substitute or change any services offered under the Site at any time at its sole discretion. MedTel shall not be responsible for any direct or consequential damages resulting from the aforementioned lack of availability or access, or suspension or discontinuation or change to any service offered by the Site.
No Duty To Update; Availability Of Content: The information, data, products and Services provided by MedTel or its third party providers through this Site speaks only as of the respective dates on which the information was first created. This information can become out-of-date from the date on which the information was first created, and accordingly, may be inaccurate or incomplete when viewed, downloaded, or used by you in the first instance. Neither MedTel nor its third party providers makes any commitment, and disclaims any duty, to maintain the information, data, products and Services made available through this Site, update or correct any of this information, data, products or Services, or supply any releases in connection therewith, except as expressly stated on this Site. Availability of information, data, products and Services are subject to change without notice.
Publication and Removal of Content by MedTel: We reserve the right to publish your Content and to also remove any portion of your Content for any reason or no reason. We are not, however, responsible for any failure or delay in removing any content from the Site.
Idea Submissions: MedTel considers any unsolicited suggestions, ideas, proposals or other material submitted to it by users via the Site or otherwise (other than the Content and the tangible items sold on the Site by users) (collectively, the “Material”) to be non-confidential and non-proprietary, and MedTel shall not be liable for the disclosure or use of such Material. If, at MedTel’s request, any member sends Material to improve the site (for example through any user forum or to customer support), MedTel will also consider that Material to be non-confidential and non-proprietary and MedTel will not be liable for use or disclosure of the Material. Any communication by you to MedTel is subject to this Agreement. You hereby grant and agree to grant MedTel, under all of your rights in the Material, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sublicensable and transferable right and license to incorporate, use, publish and exploit such Material for any purpose whatsoever, commercial or otherwise, including but not limited to incorporating it in the API, documentation, or any product or service, without compensation or accounting to you and without further recourse by you.

Trademark Content: Unless otherwise noted, product names, designs, logos, titles, text, images, audio and video within this Site are the trademarks, service marks, trade names, copyrights or other property of MedTel and its affiliates and their respective licensors, advertisers, sponsors, marketers and joint venturers (“Medtel’s Intellectual Property”). All other unregistered and registered trademarks are the property of their respective owners. Those and other trademark owners are not affiliated with MedTel, its affiliates, or their respective licensors, or any of their products or this Site. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of MedTel’s Intellectual Property displayed on the Site without the written permission of MedTel. Acknowledgment of Ownership: You acknowledge and agree that (i) the Services and information, content and software presented to you through the Services or used in connection with the Services contain proprietary and confidential information, and (ii) MedTel’s ownership and property rights to and in its app, name, designs, services and all software, devices and technology that it uses to create, operate and maintain MedTel, in each case is protected under U.S. and international intellectual property laws, including copyright, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by us or our licensors, you agree not to sell, rewrite, modify, reproduce, redistribute, create derivative works, or rent any information presented to you through the Services, in whole or in part. Further, you are prohibited from using, downloading, republishing, selling, duplicating, or "scraping" for commercial or any other purpose any database, in whole or in part, in any medium whatsoever, underlying any of the Services.
You may view information provided through the Services online, download individual articles to your computer or mobile device for later reading or print a copy of an article for yourself. You may not remove any copyright notices from our materials. We reserve all of our other rights not granted in this Agreement. You agree not to access the Services by any means other than through the interface that is provided by us for use in accessing the Services.
Providing Us Notice of Infringement: MedTel has adopted the following general policy toward copyright and intellectual property infringement in accordance with general U.S. intellectual property laws and the Digital Millennium Copyright Act of 1998 (http://lcweb.loc.gov/copyright/legislation/dmca.pdf). MedTel will respond to notices of this form from jurisdictions other than the U.S. as well. The address of MedTel’s Designated Agent to Receive Notification of Claimed Infringement (“Designated Agent”) is listed below.
MedTel may act expeditiously to respond to a proper notice by (1) removing or disabling access to material claimed to be subject of infringing activity; and (2) removing and discontinuing service to repeat offenders. If MedTel removes or disables access in response to such a notice, MedTel will make a good-faith attempt to contact the allegedly infringing party (“User”) so that they may make a counter notification.
Procedure for Reporting Copyright or Intellectual Property Infringements:
If you materially misrepresent that a product or activity is infringing your intellectual property, you may be liable for damages (including costs and attorneys’ fees and disbursements). Therefore, if you are not sure whether the material infringes upon your intellectual property, please contact an attorney before contacting MedTel.
If you believe that material residing on or accessible through the MedTel web site or service infringes a copyright or other intellectual property right, to provide MedTel of notice of such infringement, you must send a written notice of the infringement to the Designated Agent listed below. Please specify the type of infringement at issue and the notice must include the following information:
a. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright or intellectual property right that has been allegedly infringed upon (by fax or regular mail – not by email, except by prior agreement);
b. Identification in sufficient detail of the material being infringed upon (for an allegation of a patent infringement, please provide a patent number);
c. Identification of the material that is claimed to be infringing upon the intellectual property. Include information regarding the location of the infringing material with sufficient detail so that MedTel is capable of finding and verifying its existence (for listings, please provide item numbers);
d. Contact information about the notifier including the name of the intellectual property owner, the name and title of the person contacting MedTel on the owner's behalf, the address, telephone number and, if available, e-mail address;
e. A statement that the notifier has a good faith belief that the material is not authorized by the intellectual property or copyright owner, its agent, or the law; and
f. A statement made under penalty of perjury that the information provided is accurate and the notifying party is authorized to make the complaint on behalf of the intellectual property or copyright owner.
Notice meeting the foregoing requirements is called “Proper Bona Fide Infringement Notification.”
Removal of Allegedly Infringing Material: Once Proper Bona Fide Infringement Notification is received by the Designated Agent, MedTel may remove or disable access to the material infringing upon the intellectual property. If MedTel removes or disables access to content in response to an infringement notice, MedTel will make reasonable attempts to notify the User that MedTel has removed or disabled access to the material. At MedTel’s sole discretion, MedTel may also provide the reason for the removal, and may provide the User with a copy of the notice and the notifying party’s contact information. Repeat offenders will have all material removed from the system and MedTel will terminate such Users’ access to the service.
Procedure to Supply a Copyright Counter-Notice to the Designated Agent: If you materially misrepresent that a product or activity is not infringing upon the intellectual property, you may be liable for damages (including costs and attorneys’ fees). Therefore, if you are not sure whether or not the material infringes on the intellectual property, please contact an attorney before contacting MedTel.
If a User believes that their material that was removed or to which access was disabled is not infringing upon a copyright, you must send a counter-notice, pursuant to 512(g)(2) and (3) of the Digital Millennium Copyright Act. Please do not re-list or reactivate the material yourself. The counter-notice must contain the following information to the Designated Agent listed below.
a. Your physical or electronic signature (by fax or regular mail – not by email, except by prior agreement);
b. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled;
c. A statement, under penalty of perjury, that the you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material;
d. Your name, address, telephone number, and, if available, e-mail address and a statement that you consent to the jurisdiction of the Federal Court for the judicial district in which the User’s address is located, or if your address is located outside the United States, for any judicial district in which MedTel is located, and that you will accept service of process from the person who provided notification under subsection (c)(1)(C) or an agent of such person.
If a counter-notice is received by the Designated Agent, MedTel may send a copy of the counter-notice to the original complaining party informing that person that MedTel may replace the removed material or cease disabling it in ten (10) business days. Unless the copyright or intellectual property owner files an action seeking a court order against the User, the removed material may be replaced or access to it restored in ten (10) to fourteen (14) business days after receipt of the counter-notice, at MedTel’s discretion.

Additionally, there may also be risks dealing with international trade and foreign nationals. By using MedTel, you agree to accept such risks and that MedTel (and MedTel’s officers, directors, agents, contractors, affiliates, parent, subsidiaries, joint ventures and employees) is not responsible for any and all acts or omissions of users on MedTel. Please use caution, common sense, and prudence when using the Site or entering into any business dealings or interactions with other users.
Use of Databases: The Services include contact information for physicians, health care professionals, and sales representatives of pharmaceutical drug products and medical device products. 9. MEETINGS
Users may arrange and attend online virtual meetings or in-person meetings (“Meetings”) with one or more individuals. Users are solely responsible for interactions with others. Users must comply with MedTel’s policies and acknowledge and agree to comply with the laws of the city, county and country in which the Meeting occurs. Additional eligibility requirements for a particular group or Meeting may be set by the group's contact person. MedTel is not involved with user generated groups, any groups’ requirements, or the Meetings.
MedTel does not supervise or control the Meetings, user-initiated online or offline gatherings, or the interactions among and between users and other persons or companies. Users are solely responsible for interactions with others. Users understand that MedTel does not in any way screen its users. All users agree to exercise caution and good judgment in all interactions with others, particularly if meeting offline or in person.
Groups or User Fees: Some user-generated groups on MedTel may require or request that users pay fees in order to be a member of the group, participate in a promotion, or participate in Meetings. MEDTEL IS NOT INVOLVED IN THE TRANSACTIONS, THE PAYMENTS OR THEIR PROCESSING. THE PAYMENT DOES NOT GO TO MEDTEL; THIS MONEY IS SEPARATE FROM ANY FEES OR CHARGES ASSESSED BY MEDTEL, AND MEDTEL HAS NO CONTROL OVER THE MONEY, THE USER-GENERATED GROUPS, PROMOTIONS, THE MEETINGS, OR THE LEADER OF THE GROUP IN CONNECTION WITH ITS USE. YOU ACKNOWLEDGE AND AGREE THAT MEDTEL IS NEITHER INVOLVED NOR A PARTY IN ANY PAYMENT, TRANSACTION OR INTERACTION BETWEEN OR AMONG USER-GENERATED GROUPS, MEDTEL USERS AND/OR THIRD PARTIES (together a “Third Party Transaction”), AND THAT YOU BEAR ALL RISK IN CONNECTION WITH YOUR THIRD PARTY TRANSACTIONS. 10. OTHER DEALINGS WITH THIRD-PARTY BUSINESSES AND SERVICE PROVIDERS
MedTel’s provision or maintenance of a link to a website, the existence of information or content provided by a third-party or the failure of MedTel to remove any information or omit any content does not amount to an endorsement of or opinion regarding any website, information, business, person or content. The user of MedTel’s app or services acknowledges that MedTel may be providing certain information in exchange for compensation from the person or business to which the information relates MedTel may highlight or promote the good or services of one or more businesses; but this does not amount to an endorsement or promise or representation of any kind in regard to such business or its good or services or any user listed on the Site; and the user of MedTel’s app or service solely is responsible for conducting its own investigation regard to such business or its good or services. Your correspondence or business dealings with, or participation in promotions of, providers of good or services found on or through MedTel, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the aforementioned provider or other user listed on the Site. No Warranties As To Security: MedTel makes no warranty whatsoever to you, express or implied, regarding the security of the site, including with respect to the ability of unauthorized persons to intercept or access information transmitted by you through this service. Neither MedTel, nor any of its clients, directors, officers or employees, nor any third party vendor, will be liable or have any responsibility of any kind for any loss or damage that you incur in the event of any failure or interruption of this Site, or resulting from the act or omission of any other party involved in making this Site, the data contained herein or the Services or products offered on this Site available to you, or from any other cause relating to your access to, inability to access, or use of the Site or these materials, whether or not the circumstances giving rise to such cause may have been within the control of MedTel or of any vendor providing software or services.
12. TERMINATION OF USE AND OTHER ACTIONS THAT MAY BE TAKEN BY US
You agree that MedTel, in its sole discretion, may terminate all or part of your user access, registration, password, account (or any part thereof) or use of the Services, and remove and discard any Content within the service, for any reason, including, without limitation, for lack of use, no reason, or if MedTel believes that you have violated or acted inconsistently with the letter or spirit of these terms. MedTel may also in its sole discretion and at any time discontinue providing the Services, or any part thereof, with or without notice. You agree that any termination of your access to the Services under any provision of these terms may be effected without prior notice, and acknowledge and agree that MedTel may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files, the Site or the Services. Further, you agree that MedTel shall not be liable to you or any third-party for any termination of your access to the Services or the Site, and shall not be responsible for any direct or consequential damages resulting from the aforementioned termination or deactivation.
We may, but are not obligated to, do any of the following without notice, without limitation:
a. Record or pre-screen the dialogue in any Communication from you to any other user or to Medtel.
b. Investigation an allegation that Content submitted by you does not conform to the terms of this Agreement and determine in our sole discretion to remove or request the removal of Content.
c. Remove Content which is abusive, objectionable, illegal, or disruptive or otherwise fails to conform to these Terms of Use
d. Terminate your access to any or all of the Services upon our determination that you have violated these Terms of Use;
e. Edit Content.
You acknowledge, consent and agree that we may investigate your use of Content, Communication or Services in order to determine whether a violation of the Terms of Use has occurred or to comply with any applicable law, regulation, governmental request or legal process.
13. INDEMNITY
You agree to indemnify and hold harmless MedTel, and its subsidiaries, affiliates, officers, directors, agents, parent and affiliated companies, suppliers, contractors, co-branders or other partners, and employees and consultants, from any liability, claim or demand and expenses, including reasonable attorneys' fees and disbursements, made by any third party due to or arising from or are related to, your use of the Services or access to the Site, (b) your connection to the Site, (c) the violation of MedTel’s current or amended or revised Agreement by you or any third party using your account, including the violation of any intellectual property or other right of any other person. The foregoing indemnification does not apply to liabilities, claims and expenses arising as a result of MedTel’s own gross negligence or intentional misconduct.
14. DISPUTES AND RELEASE OF CLAIMS
In the event a dispute arises between you and MedTel, please contact MedTel.
Should you have a dispute with one or more users, or an outside party, you release MedTel (and MedTel's officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. MedTel encourages users to report user-to-user disputes to your local law enforcement, postmaster general, or a certified mediation or arbitration entity, as applicable.
MedTel, for the benefit of users, may try to help users resolve disputes. MedTel does so in MedTel's sole discretion, and MedTel has no obligation to resolve disputes between users or between users and outside parties. To the extent that MedTel attempts to resolve a dispute, MedTel will do so in good faith based solely on MedTel's policies. MedTel will not make judgments regarding legal issues or claims.
15. CHOICE OF Law
This site is controlled by MedTel from its offices located in the State of New York within the United States of America. This Agreement shall be construed and governed by the laws of the State of New York without reference to its conflict of laws principles. Neither MedTel nor any of its affiliates make any representation that materials at this Site are appropriate or available for use outside the United States, and access to them from territories where the content of this Site is illegal is prohibited. While this Site may be viewed internationally and may contain references to products and services not available in all countries, such references do not imply that MedTel nor any of its affiliates nor any user of the Site intends to make such products or services available in such countries. You may not use, export or re-export the materials at this Site, nor may you use any copy or adaptation of such materials, in each case, in violation of any applicable laws or regulations, including, without limitation, United States export laws and regulations. You hereby consent to, and agree to bring any and all claims in, the exclusive jurisdiction of the state and federal courts located in New York, New York, U.S.A., for any action or proceeding arising under or relating to this Agreement, the Site, or the use of, or reliance on this Site, whether based in contract or tort or otherwise.
16. SEVERABILITY
If any clause or provision herein shall be adjudged invalid or unenforceable by a court of competent jurisdiction or by operation of any applicable law, it shall not affect the validity of any other clause or provision, which shall remain in full force and effect.
17. ASSIGNMENT AND WAIVER
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by MedTel without restriction.
The waiver or lack of enforcement by MedTel of a breach of any provision of these terms shall not operate or be construed as a waiver of any subsequent breach.
18. ENTIRE AGREEMENT
This Agreement shall constitute the entire agreement between you and MedTel regarding the subject matter hereof and shall supersede any and all prior negotiations, representations, warranties, undertakings, or agreements, written or oral, between the parties regarding such subject matter.
19. UPDATES AND REVISIONS TO THIS AGREEMENT
Amendments and Modifications: These terms may not be modified, changed, amended or altered by any promise or statement or action by any representative of MedTel. Only a written modification approved in writing by an officer of MedTel or posted to the Site by MedTel shall bind you and MedTel.
Changes and Updates to Terms of Use: We may change these Terms of Use at any time, as we reasonably deem appropriate. Upon any change in these Terms of Use, we will post the amended agreement on the Site with notice of the changes. Your continued use of the Site and/or the Services following such notification shall constitute your affirmative acknowledgement of the Terms of Use, the modification and agreement to abivde and be bound by the Terms of Use. In addition, we may seek to obtain a “click-thru” consent from you at any time agreeing to the new Terms of Use to re-affirm your acknowledgement of a new Terms of Use in effect.
